1. Acceptance of Terms
By accessing or using the Ask Paxo platform, including the website at AskScouty.com, the Ask Paxo voice assistant, and all related services (collectively, the "Service"), operated by Vaaya Inc. ("Vaaya," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and Vaaya Inc. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Ask Paxo is an AI-powered voice assistant that helps users find short-term rentals and housing in the San Francisco Bay Area. The Service operates through voice calls (both phone and browser-based) and provides personalized rental recommendations based on your stated preferences and conversation history.
Ask Paxo is an AI assistant, not a human agent. All voice conversations are conducted by artificial intelligence. Ask Paxo is not a licensed real estate broker, agent, property manager, or landlord. The Service provides informational assistance only and does not facilitate, execute, or guarantee any rental transaction.
3. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you do not meet these requirements, you must not access or use the Service.
4. Account & Phone Verification
To use the Service, you must provide a valid phone number and verify it via a one-time password (OTP) sent by SMS. You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the security of your phone number and verified session
- All activity that occurs through your verified account, whether or not you authorized it
- Notifying us promptly if you become aware of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate, fraudulent, or misleading information.
5. Voice Calls, Recordings & AI Disclosure
By using the Service, you understand and agree to the following:
- AI-Generated Voice: All voice interactions with Ask Paxo are conducted by artificial intelligence using AI-generated speech. Under the Telephone Consumer Protection Act (TCPA), AI-generated voices are classified as "artificial or prerecorded voices." By using the Service, you consent to receiving calls using such technology.
- Recording & Transcription: All calls may be recorded and transcribed for the purposes of (a) delivering the Service in real time, (b) storing your preferences for continuity across sessions, (c) post-call analysis and quality improvement, and (d) legal compliance. By initiating or accepting a call, you consent to such recording and processing.
- Right to Decline: If you do not consent to AI-generated voice calls or call recording, do not initiate or accept calls through the Service. This may limit your ability to use core features of Ask Paxo.
6. SMS & Phone Communications Consent (TCPA)
By providing your phone number, you expressly consent to receive the following from Vaaya Inc. and the Ask Paxo Service:
- One-time password (OTP) verification messages via SMS
- AI-powered voice calls initiated by or through the Service using artificial or prerecorded voices
- Transactional communications related to your use of the Service (e.g., call confirmations, rental match notifications)
Consent is not a condition of purchase. You are not required to consent to marketing communications as a condition of using the Service. OTP verification and transactional messages are necessary for Service functionality.
Message frequency: Message frequency varies based on your usage of the Service. Message and data rates may apply depending on your mobile carrier and plan.
Opt-out: You may revoke your consent to receive communications at any time by replying STOP to any SMS message or by contacting us at legal@vaaya.ai. We will honor your opt-out request within ten (10) business days. Note that opting out of transactional messages may affect your ability to use the Service.
7. AI-Generated Content & Recommendations
The Service uses artificial intelligence to provide rental recommendations, neighborhood insights, pricing information, and general conversational assistance. You acknowledge and agree that:
- No guarantee of accuracy: AI-generated responses may contain errors, inaccuracies, incomplete information, or outdated data. Rental listings, pricing, availability, neighborhood characteristics, and other information provided by Ask Paxo are for informational purposes only and should be independently verified before making any decisions.
- Not professional advice: Ask Paxo's recommendations do not constitute legal, financial, real estate, or any other professional advice. You should consult with licensed professionals for matters requiring expert guidance.
- AI limitations: AI systems may misunderstand queries, produce inconsistent responses, or fail to account for relevant factors. You should exercise your own judgment when evaluating any information provided by the Service.
- No guarantee of outcomes: Using the Service does not guarantee that you will find or secure rental housing. Vaaya Inc. makes no representations regarding the success of any housing search conducted through the Service.
- Listing accuracy: We do not independently verify the accuracy, legality, or quality of any rental listings or property information surfaced by the Service. Properties may be unavailable, misrepresented, or priced differently than indicated.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international laws or regulations
- Impersonate any person or entity, or misrepresent your identity or affiliation with any person or entity
- Interfere with, disrupt, or place an undue burden on the Service, its servers, or networks connected to the Service
- Attempt to gain unauthorized access to any part of the Service, other user accounts, or computer systems or networks connected to the Service
- Use the Service to harass, threaten, intimidate, or harm any person
- Use automated means (bots, scrapers, spiders, crawlers) to access, collect data from, or interact with the Service without our prior written consent
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service
- Use the outputs of the Service to train, develop, or improve any competing AI model or service
- Reproduce, distribute, or create derivative works based on the Service without our express written permission
- Attempt to circumvent any security, rate-limiting, or access control measures of the Service
- Submit false, misleading, or fraudulent information during conversations or registration
9. Rental Platform Disclaimer
Ask Paxo is a search and information tool only. You expressly acknowledge and agree that:
- Vaaya Inc. is not a real estate broker, agent, property manager, or landlord, and is not licensed as such in any jurisdiction.
- Vaaya Inc. does not own, manage, operate, or control any rental properties or listings surfaced through the Service.
- Vaaya Inc. is not a party to any rental agreement, lease, sublease, or other housing arrangement that may result from your use of the Service.
- Vaaya Inc. does not guarantee the availability, condition, safety, legality, or suitability of any property or listing.
- You assume all risk in connection with any rental transaction, property viewing, or housing decision made in connection with information provided by the Service.
- Vaaya Inc. complies with all applicable fair housing laws. The Service does not discriminate on the basis of race, color, religion, sex, familial status, national origin, disability, or any other protected class.
You hereby release Vaaya Inc. and its officers, directors, employees, agents, and affiliates from any and all claims, demands, damages, losses, and expenses (including attorneys' fees) arising out of or related to any rental transaction, property condition, landlord dispute, or housing decision made in connection with the Service.
10. Intellectual Property
The Service and its original content, features, functionality, software, and technology are owned by Vaaya Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Ask Paxo name, Paxo name, logo, bear mascot, and all related marks are trademarks of Vaaya Inc. You may not use any of our trademarks without our prior written consent.
Your content: You retain ownership of the information and content you provide to the Service (e.g., your name, preferences, search criteria). By using the Service, you grant Vaaya Inc. a worldwide, royalty-free, non-exclusive license to use, process, store, and display your content solely for the purposes of providing, maintaining, and improving the Service.
AI-generated outputs: Rental recommendations, neighborhood descriptions, and other content generated by Ask Paxo in response to your queries are provided for your personal, non-commercial use. You acknowledge that other users may receive similar or identical outputs.
11. Third-Party Services & Links
The Service may reference, link to, or integrate with third-party services, websites, or rental listing platforms. These third-party services are not under the control of Vaaya Inc., and we are not responsible for their content, privacy policies, practices, or availability.
The inclusion of any third-party link or reference does not imply endorsement by Vaaya Inc. Your interactions with third-party services are governed by their respective terms of service and privacy policies. We encourage you to review the terms and privacy policies of any third-party service before providing personal information or entering into any transaction.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, VAAYA INC. DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE QUALITY OF ANY INFORMATION, RECOMMENDATIONS, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) ANY RENTAL PROPERTY IDENTIFIED THROUGH THE SERVICE WILL BE AVAILABLE, SUITABLE, SAFE, OR LEGALLY COMPLIANT.
VAAYA INC. IS NOT A REAL ESTATE BROKER, AGENT, OR LANDLORD AND DOES NOT GUARANTEE THE AVAILABILITY, QUALITY, LEGALITY, OR SAFETY OF ANY RENTAL LISTING OR PROPERTY.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VAAYA INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or goodwill
- Loss of housing opportunity or increased housing costs
- Property damage or personal injury related to any rental transaction
- Reliance on any information provided by the Service
- Unauthorized access to or alteration of your data
- Any other matter related to the Service
IN NO EVENT SHALL VAAYA INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO VAAYA INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER VAAYA INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to indemnify, defend, and hold harmless Vaaya Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms or any applicable law or regulation
- Your violation of any rights of a third party
- Any rental transaction, property dispute, or housing decision made in connection with information obtained through the Service
- Any content or information you provide to the Service
This indemnification obligation shall survive the termination of these Terms and your use of the Service.
15. Dispute Resolution & Arbitration
a. Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@vaaya.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date of your initial contact.
b. Binding Arbitration
If the dispute is not resolved through informal negotiation within 30 days, you and Vaaya Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in San Francisco, California, or at another mutually agreed-upon location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
c. Class Action Waiver
YOU AND VAAYA INC. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
d. Jury Trial Waiver
YOU AND VAAYA INC. HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
e. Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
f. Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending a written notice to legal@vaaya.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, phone number, and a clear statement that you wish to opt out of arbitration.
16. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, and without liability. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or abusive conduct, or extended inactivity.
You may terminate your use of the Service at any time by discontinuing use and requesting account deletion by contacting us at legal@vaaya.ai.
Upon termination, your right to use the Service will immediately cease. The following provisions shall survive termination: Sections 7 (AI-Generated Content), 9 (Rental Platform Disclaimer), 10 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and 17 (Governing Law).
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. For any claims not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For significant changes, we may provide additional notice (such as an in-app notification or email). Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
19. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vaaya Inc. regarding your use of the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of Vaaya Inc. to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. Vaaya Inc. may assign these Terms without restriction.
- Force Majeure: Vaaya Inc. shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, power failures, internet disruptions, or third-party service outages.
- Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
